Terms and Conditions of Purchase 

The following Terms and Conditions of Purchase apply to all transactions related to TDW GmbH, Wielenbachstraße 10, 86956 Schongau. By placing an order or making a purchase, you accept the terms outlined below. Please read them carefully before proceeding. 

The sale and purchase of goods and services are governed by German law. Exceptions apply only in cases where international trade agreements take precedence. Disputes involving commercial clients will be settled at the competent court at the registered office of TDW GmbH in Germany. These terms do not affect your statutory consumer rights. 

 

1. Changes to Terms and Conditions 

TDW GmbH reserves the right to amend these terms and conditions at any time without prior notice. The updated terms will apply to all orders and purchases made after the changes take effect. 

 

2. Trademarks and Copyright 

All trademarks and logos displayed on this website are the property of TDW GmbH and may not be used without prior written consent. Unless otherwise stated, TDW GmbH holds full copyright over all content on this website. The reproduction, distribution, or use of any materials for commercial or public purposes is strictly prohibited without explicit written permission. 

 

3. Product and Content Modifications 

TDW GmbH regularly updates its product offerings and reserves the right to modify or discontinue any products or services at any time. No liability is accepted for discontinued products or interim changes to offerings. 

 

4. Prices 

All listed prices are, unless otherwise stated, inclusive of the applicable statutory value-added tax (VAT). The price valid at the time of order placement or contract agreement is binding. Price changes and typographical errors are subject to correction. 

 

5. Payment Terms 

Payment terms are individually agreed upon between TDW GmbH and the customer. Payments must be made within the agreed timeframe and according to the specified terms. 

 

6. Order Confirmation 

Upon receiving an order or purchase agreement, TDW GmbH may issue a written confirmation. If a product or service is unavailable, the customer will be informed as soon as possible. 

 

7. Delivery Locations 

TDW GmbH delivers worldwide unless otherwise agreed upon. 

 

8. Delivery Time 

The delivery time will be agreed upon individually and will only commence after written confirmation from TDW GmbH. Delays due to unforeseen circumstances or force majeure may occur. 

 

9. Data Protection and Privacy 

Personal data is handled with the utmost confidentiality and is used solely for order processing and customer service purposes. No personal data will be shared with third parties without the customer's explicit consent. 

 

10. Right of Withdrawal (Consumers Only) 

The following right of withdrawal applies exclusively to consumers as defined under § 13 BGB and does not extend to business customers or commercial purchases. 

Consumers have the right to withdraw from the contract within 14 days without stating any reason. The withdrawal period begins on the day the consumer or a third party designated by them (excluding the delivery carrier) takes physical possession of the goods. 

To exercise the right of withdrawal, the consumer must notify TDW GmbH, Wielenbachstraße 10, 86956 Schongau, Germany in writing (e.g., via email or letter) of their decision to withdraw from the contract. 

Effects of Withdrawal: 

If the right of withdrawal is exercised, TDW GmbH will refund all payments received, including standard delivery costs, without undue delay and no later than 14 days from the date of receiving the withdrawal notification. The refund will be processed using the same payment method used in the original transaction unless explicitly agreed otherwise. 

TDW GmbH may withhold the refund until the goods have been returned or proof of return has been provided. 

The consumer must return the goods promptly and no later than 14 days after notifying TDW GmbH of the withdrawal. The return shipping costs must be covered by the consumer. 

A reduction in the refund amount may apply if the goods have been used beyond what is necessary to assess their nature, properties, and functionality. 

 

11. Warranty 

The statutory warranty rights apply in accordance with the provisions of the German Civil Code (BGB). The warranty period is two years from the date of receipt of the goods

 

12. Product Information and Instructions 

Customers are responsible for carefully reading and following the provided product information and usage instructions. 

 

13. Transfer of Risk 

TDW GmbH is responsible for ensuring proper delivery of the goods. If damage or loss occurs during transportation, TDW GmbH will bear the costs. In the case of lost shipments, a replacement will only be sent after all necessary tracking and recovery efforts have been completed. 

If an incorrect address is provided or a package is not collected within the carrier's deadline, resulting in a return shipment, the customer is responsible for any additional shipping costs.

15. Consumer Dispute Resolution 

Consumers may submit complaints via the European Online Dispute Resolution platform: http://ec.europa.eu/odr

However, TDW GmbH is not obliged to participate in alternative dispute resolution proceedings before a consumer arbitration board. 

 

16. Force Majeure 

Force majeure releases TDW GmbH from its contractual obligations. This includes, but is not limited to, strikes, natural disasters, pandemics, transportation disruptions, import/export bans, and other unforeseen events. If a force majeure event lasts longer than two months, both parties have the right to cancel the contract without any claims for compensation.
